Last Updated: 26th September 2025.
These API Terms of Use (“API Terms”) govern the Customer’s and its Authorised Users’ access to and use of the Supplier’s API (the “API”). They form part of and are incorporated into the Agreement. Capitalised terms used in these API Terms have the meaning given in the Agreement unless otherwise stated.
1. API Access and Credentials
1.1 Access to the API is provided through unique authentication credentials (“API Keys”) issued by the Supplier.
1.2 The Customer must ensure that all API Keys:
(a) are kept secure and confidential;
(b) are not shared between individuals or published in public code repositories; and
(c) are used only by the Customer and its Authorised Users for the Customer’s internal business purposes.
1.3 The Customer is responsible for all activities undertaken using its API Keys, whether authorised or not.
1.4 The Supplier may revoke, suspend, or require the rotation of any API Key at any time in the event of suspected misuse, excessive usage, security concerns, or breach of these API Terms.
2. Permitted Use
2.1 The API may only be used to access and integrate with the Software in accordance with the Agreement and any Documentation.
2.2 The Customer shall not and shall procure that its Authorised Users shall not:
(a) use the API for any purpose not expressly permitted in the Agreement;
(b) interfere with or disrupt the integrity, performance, or security of the API or the Software;
(c) use the API to build a product or service that competes with the Services; or
(d) sublicense, resell, or otherwise make the API available to third parties.
3. Rate Limits and Fair Usage
3.1 Unless otherwise agreed in writing, each API Key is subject to rate limits published in the Documentation (currently 5,000 requests per hour).
3.2 The Supplier may throttle, restrict, or block API calls that exceed applicable rate limits.
3.3 The Customer may request higher limits or dedicated capacity, subject to payment of additional Fees.
4. Versioning and Deprecation
4.1 The Supplier may update or modify the API from time to time, including by introducing new versions.
4.2 Where the Supplier intends to deprecate or materially change an API version, it shall provide reasonable prior notice to the Customer (via the Supplier’s website or direct communication).
4.3 The Customer is responsible for ensuring its integrations are updated to remain compatible with supported API versions.
5. Security and Data Protection
5.1 All calls to the API must be made using TLS/HTTPS.
5.2 The Customer must implement appropriate security measures to protect API Keys and any data transmitted through the API, including secure storage and key rotation practices.
5.3 If the Customer becomes aware of or suspects any unauthorised access, disclosure, or compromise of its API Keys, it must immediately notify the Supplier.
5.4 The processing of personal data through the API is subject to the Data Protection provisions of the Agreement and the Data Processing Addendum.
6. Monitoring and Audit
6.1 The Supplier may monitor API usage to ensure compliance with these API Terms, to maintain security, and to improve the Services.
6.2 The Supplier reserves the right to audit the Customer’s API usage on reasonable notice.
7. Suspension and Termination
7.1 The Supplier may suspend or terminate API access without liability if:
(a) the Customer breaches these API Terms or the Agreement;
(b) the Supplier reasonably suspects misuse or security compromise; or
(c) required by law or regulation.
7.2 Termination or suspension of API access does not affect the remainder of the Agreement or the Customer’s obligation to pay Fees.
8. Intellectual Property
8.1 All Intellectual Property Rights in the API, its Documentation, and any related tools are and shall remain the exclusive property of the Supplier and its licensors.
8.2 No rights are granted to the Customer other than those expressly set out in these API Terms and the Agreement.
9. Liability
9.1 The API is provided “as is” and without warranty except as expressly stated in the Agreement.
9.2 The Supplier shall not be liable for any losses arising from the Customer’s misuse of API Keys or failure to comply with its security obligations under these API Terms.
9.3 The limitations and exclusions of liability in the Agreement apply in full to these API Terms.
10. Changes to these API Terms
The Supplier may amend these API Terms at any time by publishing the updated version at https://www.accessplanit.com/api-terms-of-use. Such amendments shall be effective immediately upon posting, unless otherwise stated. Where a change materially and adversely affects the Customer’s permitted use of the API, the Supplier shall use reasonable endeavours to provide the Customer with prior notice (which may be via the Supplier’s website or email). Continued use of the API following publication of the amended terms constitutes acceptance of the changes.
